The subject of this doctoral dissertation is the concept of derivative claim. This is a very complex corporate law concept, which was introduced into the Serbian law through the 1996 Act on Enterprises, and is today regulated by the Business Corporation Act. A derivative claim is usually defined as a lawsuit brought on behalf of a company by one or more of its shareholders against the directors or any other persons whose actions caused damage to the company. Nevertheless, it should be emphasized that this definition is simplified, as every law defines derivative claim through its own prism; therefore, it is almost impossible to formulate a universal definition of derivative claim, as such. Still, there is one common feature of derivative claim in all legal sistems – the derivative claim is not a general claim under the corporate law, but it is limited, both in the personal and the material scope of application. In the Serbian law, a derivative claim may be filed only in case of breach of fiduciary duties towards the company, breach of the rules on limits on a corporation's right to make distributions to shareholders in case of joint stock companies and expulsion of a member of limited liability company. Such a claim may be filed only by shareholders holding at least 5% of company's share capital, provided such shareholders have submitted a request for submission of a direct claim to the company (prior demand), but the company refused to act on it or to respond to such a request. So far, there has been not much interest in derivative claim, either among the Serbian legal theorists or in business practice since there have been only several cases of derivative claims. Therefore, the aim of this dissertation is to provide a comprehensive analysis of derivative claim in order to achieve a complete understanding of this legal concept, and, finally, to propose amendments to the current legislation with a view to applying this concept more. This means that the dissertation will analyze the concept from the standpoint of the corporate and civil procedural laws. The corporate law analysis of derivative claim begins with the definition of the theoretical basis of derivative claim, an analysis of the historical development of derivative claim, followed by the description of different understandings of the claims (traditional and modern), their purpose (repression and/or prevention of tortious behavior), notion, legal nature, main features and the relationship between derivative claim and the general corporate and civil laws principles.

Предмет докторске дисертације је деривативна тужба. Реч је о веома комплексном институту компанијског права који је у српско право уведен Законом о предузећима из 1996. године, а данас је регулисан Законом о привредним друштвима. Деривативна тужба се обично дефинише као тужба коју члан друштва подноси у своје име, а за рачун компаније, против директора или других лица која су својим поступањем проузроковала штету компанији. Међутим, потребно је указати да је реч о поједностављеној дефиницији, јер свако право дефинише свој однос према деривативној тужби, те је скоро немогуће формулисати универзалну дефиницију деривативне тужбе. Ипак, постоји једна заједничка карактеристика уређења деривативне тужбе у свим правима, а то је да деривативна тужба није општа тужба компанијског права, већ је ограничена како по персоналном, тако и по материјалном домену примене. У српском праву деривативну тужбу је могуће поднети само због повреде посебних дужности према друштву, повреде правила о ограничењима плаћања код акционарских друштава и ради искључења члана друштва са ограниченом одговорношћу. Право на подношење тужбе имају само чланови друштва који поседују 5% удела у основном капиталу друштва и који су поднели захтев друштву за подношење директне тужбе (претходни захтев), али по коме друштво није поступило или на који није одговорило. До сада деривативна тужба није била предмет детаљнијег интересовања, како српске правне науке, тако ни пословне праксе, с обзиром на околност да постоји свега неколико примера деривативне тужбе. Отуда, циљ дисертације је да представи свеобухватну анализу деривативне тужбе, како би се постигло потпуно разумевање овог института и на крају дали предлози за измене позитивног законодавства, у циљу постизања већег степена примене тужбе. Таква анализа нужно мора да обухвати анализу са становишта компанијског права и становишта грађанско процесног права.
